Agreement for the use of Genium360 services and commercial benefits and the protection of personal information (Genium360 Members and Associates)

Introduction To enjoy all the benefits that are offered through us, you must meet the eligibility requirements to become a Member or Associate of Genium360 (“Genium360”). Genium360 is a nonprofit corporation whose mission is to connect the engineering community. As part of our activities, we make available to our Members and Associates various programs and attractive commercial benefits that are negotiated with various suppliers and partners. With a view to meeting our objectives, this Agreement is intended to establish the Terms and Conditions governing the use of Genium360 services and commercial benefits by our Members and Associates, and the protection of personal information. Members and Associates who wish to take advantage of all the benefits offered through us, or to maintain these privileges, must read and accept this Agreement.

  1. Definitions: The definitions below apply to this Agreement:

    1. “Commercial Benefit” means any product or service offered to our Members and Associates by a Partner pursuant to the agreement in force between said Partner and Genium360.
    2. “Associate”, “you”, or “your” refers to a user who is eligible for Genium360 services and commercial benefits and who is not a Member, but who meets the conditions set out in paragraph 3.2.
    3. “Member”, “you”, or “your” refers to any Genium360 Member who meets the conditions set out in paragraph 3.1.
    4. “Partner” means any supplier or partner of Genium360 that offers products or services to our Members, to our Associates and to any other person mentioned in an agreement between said supplier or partner and Genium360.
    5. “Genium360”, “we”, or “our” means the Corporation de services Genium360.;
    6. “Services” refers to the services provided directly by Genium360, excluding any service offered by a partner.

  2. Scope: This Agreement governs your use of our Services and Commercial Benefits. The Services and Commercial Benefits include those offered by us or through us, including from the secure part of our Website that is accessible after you have logged in. You agree to comply with the terms of this Agreement for as long as you take advantage of, or use, the Commercial Benefits and Services.

  3. Eligibility

    1. Member To be a Member of Genium360, you must at all times meet the following conditions:

      1. You fulfil one of the following criteria: (a) You are a Quebec engineering graduate pursuant to Section 1.21 of the Regulation respecting the diplomas issued by designated educational institutions; (b) You hold an official diploma issued by a Canadian university under the programs accredited by the Canadian Engineering Accreditation Board; or (c) your professional equivalence has been recognized by the Ordre des ingénieurs du Québec.

      2. You agree to comply with the terms of this Agreement and with the Genium360 general bylaws.

    2. Associates: To be a Genium360 Associate, you must at all times meet the following conditions:

      1. You are either: (a) an engineering student registered in a university program specified in Section 1.21 of the Regulation respecting the diplomas issued by designated educational institutions; (b) a forest engineering student registered in a university program, or a Quebec forest engineering graduate, as the case may be, pursuant to Section 1.08 of the Regulation respecting the diplomas issued by designated educational institutions.

      2. You agree to comply with the terms of this Agreement and with the Genium360 general bylaws.

    3. If you are eligible for Genium360 Services otherwise than in the capacity of Member or Associate, you must agree to comply with the terms of this Agreement and with any other conditions that may govern your access to the Services.

  4. Other agreements: This Agreement must be read together with all the other written agreements entered into with us, and with the Privacy Policy and the Terms and Conditions. There are various other terms, conditions and disclaimers in other agreements governing the Commercial Benefits and Services. Should there exist any incompatibility between the terms of this Agreement and any other written agreement entered into with us, the terms of this Agreement will apply to the extent necessary to resolve the conflict, provided that this Agreement applies to the situation.

  5. Changes: We can make changes to our Services, the Commercial Benefits, our Website and this Agreement, at any time. We will inform you of changes to this Agreement by posting a notice to that effect on our Website. Your use of our Website, the Services and the Commercial Benefits after such a notice has been posted signifies that you accept the amended version of the Agreement and agree to be bound by it. Should you not agree with a change made to this Agreement, you must so notify us and you will then cease to enjoy all the benefits offered through us. In that event, you may no longer be able to use some of our Services, and may no longer be eligible for some of our Commercial Benefits.

  6. Personal use: Our services and Commercial Benefits are to be used solely for personal or professional purposes; barring any express indication to the contrary in the particular terms and conditions applying to a Service or a Commercial Benefit, they may be used only by you for your own benefit, not for the benefit of a third party.

  7. Your password: When you join Genium360, you must also choose a password (“password”) which you must use to log into our transactional website. You must keep your password confidential, and not disclose it to anyone. Should you have any suspicion that someone knows your password, you must notify us and immediately change it.

  8. Cancellation or interruption of service:We may cancel any Service that we provide to you, any Commercial Benefit offered by our suppliers or Partners, or your access to said Service or Commercial Benefit, at any time and without notice. We shall not be liable for any inconvenience or loss that might result therefrom, subject to applicable laws. While we do not expect any disruption of service or other failure of the communication systems, and subject to applicable laws, we shall bear no liability for any loss of any sort whatsoever that you might incur following such a problem, unless said problem is the result of willful or gross negligence (in which case our liability shall be limited to any direct damages you have sustained; we shall not be liable for any indirect, special or consequential damages).

  9. Commercial Benefits: The Commercial Benefits are offered not by us, but by Partners who have signed agreements with us for the purpose of providing Commercial Benefits to our Members and Associates. The products and services that you receive as part of the Commercial Benefits are governed by the agreements between you and the Partners that supply such products and services. You are entirely free to do business with these Partners and we offer no warranty of any nature whatsoever, be it explicit or implied, including any legal warranty or any warranty regarding the merchantability or fitness for a particular purpose of the products and services offered by a Partner, including the Commercial Benefits; any such warranties are given by Genium360’s Partners. Your relationship with each Partner is at all times independent from your relationship with us. As indicated in our Privacy Policy, we may share personal information about you with the Partners that provide the Commercial Benefits, and receive personal information about you from them, whenever doing so is necessary to enable you to enjoy the Commercial Benefits. Should you exercise your right to withdraw your consent for this type of sharing (as you may do pursuant to our Privacy Policy) we will no longer be able to extend the Commercial Benefits offered by our Partners, to you.

  10. Warranty disclaimer: Our Services are provided on an “as is” basis. We offer no warranty of any nature whatsoever, be it explicit or implied, including any legal warranty or any warranty regarding the merchantability or fitness for a particular purpose of our Services.

  11. Liability disclaimer: Subject to applicable laws, we shall not be liable for any direct, indirect, consequential, special or punitive damages of any nature whatsoever, including costs, losses or damages of any nature whatsoever arising in any of the following circumstances: a) your use of our Services or the Commercial Benefits or your inability to use them; b) any inaccuracy, omission or error in the content contained on our Website or in our communications with you; c) any purchase of products or services from our Partners carried out by you or by others; d) any act or omission on the part of a Partner, including any change, interruption or inaccuracy regarding the products and services offered by a Partner and the charges billed by it.

  12. Accuracy of information that you provide: You warrant the following: a) All the information that you enter on our Website, at any time, is accurate and complete. b) Whenever you use the Services or Commercial Benefits, you are a Member or an Associate. You are responsible for keeping your file up to date, including any change to your name, mailing address, email address, professional status, or any other information required to join Genium360.

  13. Communication preferences: You may at any time change your preferences regarding the communications that Genium360 may send to you, as provided for in our Privacy Policy. However, Genium360 may nevertheless contact you to send you communications relating to association activities, elections and decisions by general meetings or changes to the Privacy Policy or to the service agreement. When you deal with us or our Partners via the Internet, you agree to the establishment of contractual relationships by means of email.

  14. Your personal information: Any collection, use or communication of personal information is subject to our Privacy Policy. You hereby acknowledge that you have read it and that you accept its terms.
